Pre-IPO & public markets: questions promoters ask
When should a company start preparing for an IPO?
Earlier than most promoters expect. Investors and regulators look at a multi-year record of audited financials, governance and compliance, so the useful preparation often starts two to three years before the issue. Starting early leaves time to fix gaps rather than explain them.
What does IPO readiness cover?
An IPO readiness assessment compares the company against what investors, auditors and regulators will expect of a listed company: audit-ready financials, a board with independent directors and working committees, internal controls and reporting, a clean shareholding and group structure, arm's-length related-party dealings, and current statutory compliance. The output is a list of gaps and a plan to close them.
What is pre-IPO capital?
Pre-IPO capital is equity raised from private equity funds, family offices or institutions shortly before a planned listing. It can fund growth, strengthen the balance sheet and bring credible investors onto the shareholder register ahead of the issue.
Should we list on the SME platform or the main board?
It depends on the company's size, profit record, capital need and the liquidity the promoters want. The SME platforms of NSE (Emerge) and BSE have their own eligibility requirements. We assess which route fits and what the company needs to do to qualify.
Is Oogway a merchant banker?
No. Oogway prepares the company and the capital. The public issue itself is managed with a SEBI-registered merchant banker, alongside auditors and legal counsel.
